Welcome to Sag-AI®. These Terms of Use ("Terms") govern your access to and use of our services, platforms, websites, mobile applications, artificial intelligence systems, and voice assistant Asena (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and to accept all responsibilities, obligations, and rights set out herein. If you do not agree with these Terms, you must not access or use Sag-AI in any manner.

We are committed to developing our platform on the principles of lawful use, international compliance, user protection, and ethical artificial intelligence. These Terms are intended to safeguard both you and Sag-AI, and to ensure the Services are used fairly, respectfully, and responsibly worldwide.

Who May Use Sag-AI

To use Sag-AI, you must be at least 13 years of age, or the minimum age of digital consent required under the laws applicable in your jurisdiction. If you are under the legal age of majority, you may only use the Services with the knowledge and consent of a parent, legal guardian, or authorised educator.

If you access or use Sag-AI on behalf of an organisation, business, institution, or government body, you represent and warrant that you have the legal authority to bind that entity to these Terms.

You are responsible for ensuring that all information you provide during registration or use of the Services is accurate, complete, and lawful. Sag-AI reserves the right to suspend or restrict access if any eligibility requirements are breached.

Acceptable Use

Sag-AI is intended to be used responsibly, lawfully, and with respect for others. You agree not to misuse, exploit, or abuse the platform, its Services, or other users in any manner.

Prohibited conduct includes, but is not limited to:

  • Violating any applicable local, national, or international law or regulation
  • Submitting content that is harmful, misleading, unlawful, deceptive, or exploitative
  • Using Sag-AI to harass, threaten, impersonate, defame, or otherwise harm others
  • Attempting to reverse engineer, compromise, breach, or circumvent Sag-AI’s security measures
  • Using the platform to distribute malware, spam, or unauthorised automated activity
  • Collecting, processing, or storing personal data of others without lawful basis or consent

You must not use Sag-AI for surveillance, behavioural profiling, deepfake generation, unlawful file creation, or any activity intended to deceive, manipulate, or mislead individuals or the public.

We reserve the right to suspend, restrict, or terminate access for any user or organisation that breaches these Terms or misuses Sag-AI’s Services in a manner that endangers others or undermines public trust.

Emergency Communication & Abuse Prevention

By enabling or using Asena’s emergency and safety features (including offline and device-based functionality), you acknowledge and agree to the following conditions:

--*You will activate emergency functions solely in genuine emergencies or life-threatening situations.*

--*You understand that false, deceptive, or abusive activation of emergency functions may result in temporary or permanent suspension of emergency access on your device.*

--*Sag-AI, , its affiliates, and its AI systems are not liable for delays, service interruptions, network outages, hardware failures, or user error that may affect emergency communications.*

--*You consent to local, device-based logging of emergency activation data for the purposes of abuse prevention, system verification, performance integrity, and audit compliance.*

--*Such logs are stored securely and privately on the user’s device and may be disclosed to lawful authorities where required to investigate misuse, fraud, or malicious activity.*

By using Asena’s offline emergency or dispatch systems, you confirm that you have read, understood, and agreed to comply with all emergency-use requirements and abuse-prevention measures set out in this section.

Your Data, Content, and Privacy

You retain full ownership of any content you submit to Sag-AI, including text, voice input, uploaded files, and project-related data. Sag-AI does not claim ownership of your ideas, documents, or communications.

By using the platform, you grant Sag-AI a limited, non-exclusive licence to process your content solely for the purpose of providing the requested Services, such as generating responses, analysing documents, or delivering voice-based outputs. This licence terminates when you delete your content or close your account.

We do not use your content to train external artificial intelligence models. Your inputs are not sold, published, or shared beyond your control.

We protect all data in accordance with applicable global privacy and data protection laws, including the UK GDPR and EU GDPR, PIPEDA (Canada), the CCPA (California), and other relevant international standards. Sag-AI systems are encrypted, monitored, and designed to prevent unauthorised access.

You are responsible for the content you upload or submit through the Services. You must not use Sag-AI to process or store unlawful, highly sensitive, or harmful material. Where you share content with others, you are responsible for ensuring that you have the legal right to do so.

AI Limitations and Responsibility

Sag-AI uses advanced artificial intelligence technologies to generate responses, analyse data, summarise documents, provide insights, and communicate through natural language. Whilst our systems are designed to be accurate and reliable, they are not infallible and may occasionally produce incorrect, outdated, or incomplete information.

You remain solely responsible for any use of AI-generated content. You must not rely on Sag-AI as a substitute for professional judgement or advice, including legal, financial, medical, safety, or emergency decisions, without appropriate human review.

Sag-AI does not independently verify the accuracy of user-submitted content and does not guarantee the correctness or completeness of AI-generated outputs. You are expected to exercise your own judgement before acting upon any information provided through the platform.

Whilst we continually improve our systems, artificial intelligence has inherent limitations. Sag-AI should be used as a supportive and assistive tool, and not as a replacement for critical thinking, professional expertise, or ethical responsibility.

Platform Integrity and Security

Sag-AI is protected by advanced security measures, continuous monitoring, and ethical artificial intelligence design. We reserve the right to take appropriate action against any activity that threatens the stability, security, integrity, or fairness of the platform.

You agree not to:

  • Probe, scan, or test for system vulnerabilities
  • Attempt to bypass authentication mechanisms, firewalls, or access controls
  • Deploy automated scripts, bots, or tools intended to manipulate or interfere with the platform
  • Overload or deliberately stress our systems, APIs, or data limits through excessive or abusive requests
  • Upload or distribute malicious code, software, or files designed to disrupt, damage, or exploit

Sag-AI may monitor usage for the purposes of abuse prevention, system performance, and legal or regulatory compliance. We may restrict, suspend, or terminate any account, device, or IP address engaged in malicious, unauthorised, or prohibited activity.

We take platform and infrastructure security seriously — for our protection and yours. Misuse of Sag-AI systems may result in civil or criminal liability under applicable cybersecurity, computer misuse, and digital protection laws.

Suspension and Termination

Sag-AI reserves the right to suspend, restrict, or terminate your access to all or any part of the platform, with or without notice, where:

We may also restrict or disable accounts in response to lawful requests from law enforcement, regulatory authorities, or to comply with applicable legal obligations in relevant jurisdictions.

  • You breach or violate these Terms of Use
  • You attempt to misuse, abuse, or exploit the platform or its systems
  • Your actions pose a risk to other users or compromise the security or integrity of the platform
  • Your account is used for unlawful, unethical, or harmful activities

Termination of an account may result in the deletion of stored data, removal of access to Services or tools, and the revocation of any licences, permissions, or subscriptions associated with the account.

If you believe your account has been restricted or terminated in error, you may submit a request for review. However, Sag-AI is under no obligation to reinstate accounts found to be in material breach of these Terms. For review requests, please contact us at:

Billing, Subscriptions, and Refunds

Sag-AI offers paid subscription plans, which may include monthly, annual, or enterprise-based billing cycles. By subscribing to a paid plan, you authorise Sag-AI to charge your selected payment method on a recurring basis until the subscription is cancelled.

Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal. You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will prevent future charges; however, no partial, proportional, or pro-rated refunds will be issued for any time already billed or for unused features.

All fees paid are final. Refunds are not provided for digital services, except where required by applicable law in your jurisdiction. It is your responsibility to review your subscription details and ensure that the selected plan is appropriate for your needs.

Sag-AI reserves the right to amend pricing, subscription fees, or service terms by providing advance notice. If you do not agree to such changes, you may cancel your subscription before the next billing cycle. Continued use of the Services following any changes constitutes acceptance of the updated terms.

Limitation of Liability

To the maximum extent permitted by applicable law, Sag-AI, its officers, employees, affiliates, developers, and contributors shall not be liable for:

  • Any indirect, incidental, special, punitive, or consequential loss or damage
  • Loss of profits, revenue, data, business opportunities, goodwill, or reputation
  • Inaccuracies, errors, or omissions in AI-generated content or reliance on automated outputs
  • Service interruptions, delays, downtime, or unavailability of the platform
  • Decisions, actions, or outcomes arising from advice, summaries, or information provided by Sag-AI

Sag-AI is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Your use of the platform is at your own risk, and you assume full responsibility for any consequences arising from such use.

Where liability cannot be excluded under applicable law, Sag-AI’s total aggregate liability shall be limited to the amount paid by you, if any, for use of the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

Governing Law and Jurisdiction

These Terms of Use, together with any disputes, claims, or legal matters arising out of or in connection with them, are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada, without regard to any conflict of laws principles.

By accessing or using Sag-AI, you agree that any legal action, claim, or proceeding shall be commenced and determined exclusively in the courts of the Province of Alberta, Canada, unless mandatory local law in your jurisdiction requires otherwise.

Sag-AI operates on a global basis and seeks to comply with applicable international legal and regulatory frameworks. Notwithstanding this, the principal legal domicile and jurisdictional seat of Sag-AI BuildTech is Canada.

If you access or use Sag-AI from outside Canada, you are solely responsible for ensuring that your use of the platform complies with all applicable local laws, regulations, and requirements.

Updates to These Terms

Sag-AI may amend or update these Terms of Use from time to time to reflect changes in technology, applicable laws, regulatory obligations, or enhancements to our Services.

Where changes are made, the "Effective Date" at the top of these Terms will be updated accordingly. For material changes, we may provide notice via email, in-platform notification, or by prominently displaying the update on our website.

Your continued use of Sag-AI following any updates constitutes your acceptance of the revised Terms. If you do not agree to any amendment, you must discontinue use of the platform.

We recommend that you review these Terms periodically to remain informed of your rights, obligations, and responsibilities.

In the event of any inconsistency, ambiguity, or discrepancy, the English-language version of these Terms shall prevail.
